Suzano obtains competitive approvals for joint venture
Suzano informed the market that it had obtained all necessary approvals from competition authorities for the acquisition of 51% of the share capital of a new company created in the Netherlands in partnership with Kimberly-Clark Corporation.
The statement was released through a material fact sent to the CVM (Securities Commission). The operation involves Suzano International Holding B.V., a subsidiary of the Brazilian company, as buyer, and Kimberly-Clark, as seller.
According to Suzano, the completion of the transaction still depends on the completion of a corporate reorganization conducted by Kimberly-Clark in regions including South America, Central America, Ireland, United Kingdom, Europe, Africa, Middle East, Asia, Southeast Asia and Oceania. The company's expectation remains to complete the operation in the third quarter of 2026.
The new company will have assets linked to the manufacturing, marketing, distribution and sale of tissue products, such as toilet paper, paper towels, napkins and tissue, as well as other lines of paper products aimed at the "family care" and "professional business" segments in the regions included in the operation. Some countries in these regions, however, remain outside the scope of the transaction.
After the deal is completed, Kimberly-Clark will maintain a 49% stake in the company. The company will also continue to control its "family care" and "professional business" assets in North America, in addition to certain joint ventures maintained with third parties in other locations not covered by the operation.
